Terms and Conditions

The rules governing the use of AstraGive.

1. Acceptance of Terms

These Terms of Service (“Terms”) form a binding legal agreement between you and AZR Tech-Solutions, LLC (“AstraGive,” “we,” “our,” or “us”) governing your access to and use of the AstraGive text-to-give platform, the website at astragive.com, our APIs, SMS services, and any related products (collectively, the “Services”).

By accessing, registering for, or using the Services — whether as a donor, an organization, or a visitor — you agree to be bound by these Terms and our Privacy Policy and Acceptable Use Policy. If you do not agree, do not use the Services.

2. Eligibility

  • You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, to donate or open an account.
  • If you register on behalf of an organization, you represent and warrant that you have the authority to bind that organization.
  • Recipient organizations must be legally recognized nonprofits, religious institutions, educational institutions, or other lawful fundraising entities permitted under applicable U.S. law. Organizations claiming 501(c)(3) status must maintain current good standing with the IRS.
  • The Services are offered only in jurisdictions where they may be lawfully provided. You may not use the Services if you are located in, under the control of, or a national or resident of any country subject to U.S. sanctions, or on any U.S. or international restricted-party list (OFAC SDN, EU Consolidated, UK HMT, etc.).

3. Accounts & Security

To access certain features, you must create an account with accurate, complete, and current information. You are responsible for safeguarding your credentials and all activity that occurs under your account. Notify us immediately at security@astragive.com of any unauthorized use or suspected breach.

4. Description of Services

AstraGive provides a software-as-a-service platform that enables donors to initiate charitable donations via SMS (text-to-give) and secure checkout links. We act solely as a technology and communications intermediary; we are not a charity, a trustee, a custodian of donated funds, or a fiduciary for donors or organizations. Funds flow directly from donors to recipient organizations through our payment processor.

5. SMS Communications & Mobile Terms

  • When you text a donation keyword to our system, you consent to receive a secure checkout link, a donation receipt, and standard program responses via SMS at the mobile number used to send the request.
  • Our SMS program is a transactional, user-initiated service. We do not send unsolicited marketing messages, and we do not import, purchase, or rent phone lists.
  • Message and data rates may apply based on your mobile carrier plan.
  • Message frequency varies based on your interactions; you will only receive messages in response to your initiated texts.
  • Opt-Out: You can cancel the SMS service at any time. Just text STOP. After you send STOP to us, we will send you an SMS message to confirm that you have been unsubscribed.
  • Help: If you are experiencing issues with the messaging program, reply with the keyword HELP for assistance, or contact support@astragive.com.
  • Carriers (including AT&T, T-Mobile, Verizon, and others) are not liable for delayed or undelivered messages.
  • The Services comply with the Telephone Consumer Protection Act (TCPA), CTIA Messaging Principles & Best Practices, and A2P 10DLC registration requirements.

6. Donations, Payments, and Fees

6.1 Donation Finality

All donations processed through the Services are final and non-refundable, except (a) in the case of a duplicate charge, (b) where required by applicable law, or (c) at the sole discretion of the recipient organization. Refund requests should be directed to the recipient organization first; disputes may be escalated to support@astragive.com.

6.2 Payment Processing

Payments are securely facilitated by Stripe, Inc. (“Stripe”) under Stripe’s Services Agreement. By donating, you authorize Stripe to charge your payment method for the donation amount plus any optional tip or cover-fee amount you elect. AstraGive does not store full card numbers.

6.3 Fees

Organizations pay platform fees, subscription fees, or per-transaction fees as described in their order form or current pricing. Stripe’s payment-processing fees are passed through or absorbed as specified in the applicable agreement. Fees are exclusive of taxes; organizations are responsible for any applicable sales or use taxes.

6.4 Tax Receipts & Deductibility

Tax-deductibility of donations depends on the recipient organization’s tax status and your personal tax situation. AstraGive does not provide tax advice. Official tax receipts are the responsibility of the recipient organization. AstraGive may provide informational donation confirmations as a convenience, but these are not a substitute for an official acknowledgement letter.

6.5 Chargebacks

Organizations are responsible for chargebacks, reversals, and associated fees on their donations. AstraGive reserves the right to offset chargeback amounts and fees against future payouts or to invoice the organization directly.

7. Organization Obligations

Organizations using the Services represent and warrant that they will:

  • Maintain accurate, current registration, tax, and banking information.
  • Comply with all applicable federal, state, and local charitable-solicitation registration and reporting laws (including the Charleston Principles and state Attorney General requirements).
  • Use funds consistent with their stated charitable mission and donor designations.
  • Issue timely donor acknowledgements as required by IRS Publication 1771 and applicable tax law.
  • Not use the Services to solicit donations on behalf of third parties without authorization.
  • Not make false, misleading, or deceptive statements about the use or destination of donated funds.

8. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation, including tax, charitable-solicitation, consumer-protection, telecommunications, anti-spam, sanctions, or anti-money-laundering laws.
  • Engage in fraud, money laundering, terrorist financing, or deceptive solicitation.
  • Transmit unsolicited marketing, spam, or messages to recipients who have not opted in.
  • Infringe the intellectual-property, privacy, publicity, or other rights of any third party.
  • Distribute malware, viruses, or any code designed to disrupt the Services.
  • Attempt to gain unauthorized access to any part of the Services, circumvent rate limits, scrape data, or reverse-engineer our systems.
  • Resell, sublicense, or commercially exploit the Services outside the scope of your agreement with us.

9. Intellectual Property

The Services — including all software, designs, text, graphics, logos, and trademarks (including the AstraGive name and marks) — are owned by or licensed to AZR Tech-Solutions, LLC and are protected by U.S. and international intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purpose. You retain ownership of content you submit, but grant us a worldwide, royalty-free license to host, process, and display such content as necessary to operate the Services.

10. Third-Party Services

The Services integrate with third-party providers, including Stripe (payments), Twilio or equivalent (SMS), and cloud-hosting providers. Your use of such services may be subject to their respective terms. AstraGive is not responsible for the acts, omissions, or policies of third-party providers.

11. Disclaimers

The Services are provided “as is” and “as available,” without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or trade usage. AstraGive does not warrant that the Services will be uninterrupted, error-free, secure, or free of harmful components, or that any defects will be corrected. AstraGive makes no representations about the charitable integrity, financial practices, or tax status of any recipient organization.

12. Limitation of Liability

To the maximum extent permitted by law, in no event will AZR Tech-Solutions, LLC, its officers, directors, employees, affiliates, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenues, lost data, or business interruption, arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our aggregate liability under these Terms will not exceed the greater of (a) the fees paid by you to AstraGive in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions our liability is limited to the greatest extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless AZR Tech-Solutions, LLC and its officers, directors, employees, affiliates, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual-property, privacy, or publicity rights; or (d) any content you submit to the Services.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, applicable law, or our Acceptable Use Policy, or if continued provision of the Services to you creates legal, financial, or reputational risk. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including payment obligations, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Texas and the federal laws of the United States applicable therein, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to the arbitration provisions in Section 15.3, the exclusive venue for any action not subject to arbitration will be the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.

15.2 Informal Resolution

Before filing any claim, you agree to first contact us at legal@astragive.com and attempt to resolve the dispute informally for at least sixty (60) days.

15.3 Binding Arbitration & Class-Action Waiver

Except for small-claims-court matters and claims for injunctive relief related to intellectual property, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in English, on an individual basis. You and AstraGive each waive the right to a jury trial and to participate in a class action, class arbitration, or representative proceeding.

15.4 Opt-Out of Arbitration

You may opt out of the arbitration clause by sending written notice to legal@astragive.com within 30 days of first accepting these Terms.

16. Changes to the Services or Terms

We may modify the Services or these Terms at any time. Material changes will be announced by posting an updated version with a new “Last Updated” date and, for account holders, by email or in-product notice at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

17. Miscellaneous

  • Entire Agreement: these Terms, together with the Privacy Policy, Acceptable Use Policy, and any order form, constitute the entire agreement between you and AstraGive.
  • Severability: if any provision is held unenforceable, the remaining provisions remain in full effect.
  • No Waiver: our failure to enforce any right or provision is not a waiver of that right.
  • Assignment: you may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: we are not liable for failures or delays caused by events beyond our reasonable control (natural disasters, telecom outages, acts of war, government action, etc.).
  • Notices: notices to you may be sent by email or posted on the Services. Notices to us must be sent to legal@astragive.com.
  • Relationship of the Parties: the parties are independent contractors; no agency, partnership, or joint venture is created.
